  • Recruitment timelines may be affected by candidates, clients, third-party organisations, regulatory requirements, or other circumstances outside our reasonable control.
  • Clients remain responsible for ensuring that their employment practices, contracts, workplace requirements, and hiring decisions comply with applicable law.

Where recruitment services are provided under a separate agreement, the terms of that agreement will apply to the relevant services.

4. Payroll Services

Where Imperious provides payroll management or payroll administration services:

  • Clients are responsible for providing accurate and timely employee, payroll, salary, tax, pension, absence, benefit, and other relevant information.
  • Clients must notify us promptly of changes affecting payroll.
  • Payroll processing depends on receiving complete and accurate information within agreed deadlines.
  • Imperious will use reasonable care when processing payroll information supplied by clients.
  • Corrections arising from inaccurate, incomplete, or late information supplied by the client may require additional processing.
  • Payroll calculations and submissions may depend upon information, rates, rules, or systems provided by statutory authorities or third parties.
  • Clients remain responsible for reviewing and approving payroll information where approval is required under the agreed service arrangement.
  • Statutory obligations remain the responsibility of the relevant employer unless expressly transferred to Imperious under a written agreement.

5. Construction Services

Where Imperious provides construction or construction-related services:

  • The scope of work will be determined by the applicable quotation, contract, specification, drawing, schedule, or other written agreement.
  • Project costs and timescales may be affected by changes in specifications, materials, labour availability, site conditions, weather, third-party contractors, regulatory requirements, or other circumstances outside our reasonable control.
  • Additional works or changes requested after agreement of the original scope may result in additional charges and revised completion dates.
  • Clients must provide reasonable access to sites and information necessary for the performance of agreed works.
  • Where applicable, clients are responsible for obtaining permissions, approvals, surveys, or information that they have agreed to provide.
  • Construction work may involve third-party contractors, suppliers, consultants, or subcontractors.

Specific construction projects may be subject to separate contracts containing additional terms relating to specifications, payment, variations, completion, defects, health and safety, insurance, and other project matters.

6. Quotations, Proposals and Changes

  • Imperious may charge reasonable interest or recovery costs on overdue amounts where permitted by law.
  • Deposits or advance payments may be non-refundable where this has been agreed in writing or where work has already been undertaken.

8. Client Responsibilities

Clients are responsible for:

  • Providing documents, records, approvals, access, and other materials reasonably required to provide the services.
  • Reviewing information supplied for approval where applicable.
  • Meeting agreed payment deadlines.
  • Informing Imperious promptly of changes that may affect the services.

Where Imperious processes personal data on behalf of a client, the parties may enter into an appropriate Data Processing Agreement where required.

13. Service Limitations and Delays

We will use reasonable efforts to provide services in accordance with agreed requirements.

However, we do not guarantee that services will always be uninterrupted or that particular results will always be achieved.

Delays or interruptions may arise from:

  • Client delays
  • Incomplete or inaccurate information
  • Candidate availability
  • Third-party service failures
  • Supplier delays
  • Labour availability
  • Weather conditions
  • Site conditions
  • Regulatory requirements
  • Technical failures
  • Events outside our reasonable control

14. Warranties and Disclaimers
